This contract (“THE AGREEMENT”) sets forth the terms and conditions of the affiliate relationship between this site and its owners (Carlsbad Naturals, LLC) and the party requesting enrollment (“AFFILIATE”).

ENROLLMENT

By providing their information and agreeing to these terms AFFILIATE requests enrollment in Carlsbad Naturals, LLC’s affiliate program. Carlsbad Naturals, LLC reserves the right to refuse enrollment for any reason. Carlsbad Naturals, LLC is not required to notify AFFILIATE if enrollment has been denied, or to provide any explanation.

GENERAL TERMS

The U.S. Hemp Farming Act of 2018 (S. 2667; H.R. 5485) is an amendment to the Controlled Substances Act (21 U.S.C.802(16)) to exclude hemp from the statutory definition of marijuana as redefined in the 2018 farm bill, provided it contains not more than a 0.3% concentration of delta-9 tetrahydrocannabinol—marijuana’s primary psychoactive chemical. Carlsbad Naturals, LLC does not wish to induce anyone to act in conflict with any laws at any level. AFFILIATE is responsible for understanding the laws within their regions or countries concerning the sale of CBD products. All persons who purchase products are responsible for their actions in the future. Carlsbad Naturals, LLC will accept no responsibility in this respect. All information contained on any Carlsbad Naturals, LLC promotional material or packaging is for educational purposes only and is not intended to condone, promote or incite the use of illegal and/or controlled substances. Likewise AFFILIATES must not incite the use, cultivation or trafficking of banned substances. Carlsbad Naturals, LLC reserves the right to reduce commission levels, commission tiers and affiliate relations at anytime for any reason. Where possible Carlsbad Naturals, LLC will try to discuss this with the affiliate beforehand.

LINKS

Carlsbad Naturals, LLC may provide AFFILIATE with links, banners, text, multimedia content, or other snippets (collectively “ADS”) to use when promoting Carlsbad Naturals, LLC’s product(s).

TRACKING

Carlsbad Naturals, LLC will track referred users (“REFERRALS”) on the basis of additional information added to the URL, and/or the referring URL. REFERRAL may be tracked using JavaScript, cookies, IP address, and/or other technologies. AFFILIATE accepts that tracking of referrals is inaccurate. AFFILIATE accepts that they may not receive credit for referrals who have disabled Flash, cookies, or JavaScript, or who in some other way interfere with the normal operation of tracking code. Carlsbad Naturals, LLC may also cancel any transaction, including all commissions owed to AFFILIATE for any reason, including duplicate transactions, suspicious or fraudulent transactions, order returns, or incorrectly assigned transactions, even if the transaction was tracked automatically by the code.

AFFILIATES are not permitted to use the Carlsbad Naturals, LLC trademarks and website names and domains and in any paid search activity, whether this is in ad text, copy or display URLs.

AFFILIATES are not permitted to bid or appear on keywords that include our trademarks, website names and their domains, as well as their misspellings. Examples of forbidden keywords: CARLSBAD NATURALS, NEWYOU CBD, NEWYOU AFFILIATE, NEWYOU PRODUCTS, etc.

AFFILIATES agree to follow and abide by the rules and regulations for marketing and advertising issued and enforced by the FDA and FTC, as well as the various State Agencies. Failure to comply will lead to progressive disciplinary action of (a) verbal warning, (b) written warning letter, and (c) termination of affiliate agreement.

PAYMENT

Carlsbad Naturals, LLC will pay AFFILIATE commissions every month, after the 20th day of a month, for commissions generated up to the last day of a previous month. Affiliate must be owed $50, or the minimum payout threshold selected in AFFILIATE’s account options, to be able to receive payment. AFFILIATES can be paid by check or direct bank transfer. International bank transfers (outside US) lower than $200 are subject to $10 payment processing fee. Payments are issued in USD.

CUSTOMERS

AFFILIATE grants that REFERRAL is the customer of Carlsbad Naturals, LLC. Carlsbad Naturals, LLC may attempt to sell additional goods or services to REFERRAL at any time, for any reason.

LICENSE

ADS may contain copyrighted material, trademarks, or other intellectual property. Unless otherwise noted, Affiliate is authorized to use ADS and the content in them for the sole purpose of promoting Carlsbad Naturals, LLC’s product(s). THE AGREEMENT in no way implies an exclusive license to intellectual property, license to create or display derivative works, or a license to use any material for any purpose other than promotion of Carlsbad Naturals, LLC’s product(s).

DURATION

THE AGREEMENT may be terminated at any time by either party by notifying the other party in writing, by telephone, or via email. Upon termination Affiliate will be paid any commissions owed. Upon termination, Carlsbad Naturals, LLC will no longer pay AFFILIATE any commission for visitors sent, even if Carlsbad Naturals, LLC continues to track AFFILIATE’s REFERRALS.

MODIFICATION

Carlsbad Naturals, LLC may change this agreement at any time by posting a new agreement here. AFFILIATE’s continued use of the referral tracking system shall constitute agreement to the new terms. If AFFILIATE chooses not to accept the new terms, AFFILIATE may terminate THE AGREEMENT as set forth above.

LIMITATION OF LIABILITY

THE SOFTWARE IS PROVIDED “AS IS”, WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON INFRINGEMENT. IN NO EVENT SHALL THE AUTHORS OR COPYRIGHT HOLDERS BE LIABLE FOR ANY CLAIM, DAMAGES OR OTHER LIABILITY, WHETHER IN AN ACTION OF CONTRACT, TORT OR OTHERWISE, ARISING FROM, OUT OF OR IN CONNECTION WITH THE SOFTWARE OR THE USE OR OTHER DEALINGS IN THE SOFTWARE.
